Facility & Club Signup Terms & Conditions

Acceptance of These Terms

These Signup Terms & Conditions ("Signup Terms") constitute a binding agreement between you — the facility owner, club organizer, or authorized representative ("you" or "Subscriber") — and SAEN ENTERPRISES INC., operator of the PADL platform ("PADL", "we", "us", or "our").

By clicking "I Agree", completing registration, or accessing your PADL account, you confirm that:

• You have read and understood these Signup Terms in full
• You have the legal authority to enter into this agreement on behalf of the facility or club
• You agree to be bound by these Signup Terms, the PADL Terms of Service, and the PADL Privacy Policy

If you do not agree, do not proceed with registration.

Account Type & What It Includes

PADL offers two account types. Your signup determines which applies to you:

• Court management — bookings, scheduling, availability
• Open play session creation and live queue management
• Programs, clinics, and events
• Online and cash payment processing
• Player analytics and performance reporting
• PADL player app discovery and booking
• Facility web dashboard access

• Open play and matchmaking session creation
• Tournament and event management
• Brackets, scoring, and standings
• Player community and communication tools
• Payment collection for events and registrations
• Club web dashboard access

Pricing & Service Fees

Your fees depend on your account type and how payments are collected. All amounts are in Philippine Pesos (₱) unless otherwise stated.

Billing — Facilities

• The ₱949 monthly subscription is billed on the same date each month from the date your account is activated
• A valid payment method must be kept on file at all times
• If a monthly payment fails, PADL will notify you and platform access may be suspended until payment is resolved
• Subscription fees are non-refundable once a billing period has commenced

Service Fee — All Accounts

• The 5% digital payment fee is deducted automatically at the time of each transaction
• The 2% cash service fee is deducted from your periodic payout
• PADL will provide a transaction summary showing all fees deducted

Payouts

• Collected payments (net of fees) are disbursed to your registered bank account or e-wallet on a regular schedule as agreed during onboarding
• PADL reserves the right to withhold payouts to offset refunds, disputes, or outstanding obligations

Fee Changes

• PADL may update its pricing with no less than fourteen (14) days prior written notice
• Continued use of the platform after the effective date constitutes acceptance of updated fees
• If you do not agree to a fee change, you may cancel your account before the effective date

Your Obligations

By signing up, you agree to the following:

• Provide accurate, complete, and up-to-date information about your facility or club during registration and at all times thereafter
• Maintain accurate court availability, pricing, and scheduling information on the PADL platform
• Honor all confirmed bookings and reservations made through PADL
• Publish a clear and fair cancellation and refund policy on the platform and honor it consistently
• Ensure your facility or club operates in compliance with all applicable Philippine laws, local government regulations, business permits, and safety standards
• Keep your login credentials secure and not share access with unauthorized individuals
• Use player contact information provided through PADL only for the purpose of fulfilling a confirmed booking — not for unsolicited marketing, storage, or resale
• Not direct players to make bookings or payments outside of the PADL platform to circumvent platform fees
• Respond to player inquiries and disputes in a timely and professional manner
• Not engage in fraudulent, deceptive, or misleading activity on or through the platform

Platform Rules & Enforcement

Performance Standards

PADL monitors subscriber performance based on metrics including booking fulfillment rates, cancellation rates, player ratings, and response times. Performance data may be used to adjust platform visibility, apply incentive measures, or determine continued platform access.

Prohibited Conduct

The following are strictly prohibited and may result in immediate suspension or permanent termination of your account:

• Manipulating court availability, pricing, or booking data on the platform
• Directing players to transact outside PADL to avoid platform fees
• Misusing player personal data provided through the platform
• Fraudulent, abusive, or deceptive conduct toward players, other facilities, or PADL
• Providing false information during registration or at any time during the agreement

Enforcement Actions

Violations of these Signup Terms or the PADL Terms of Service may result in:

• Written warning and required remediation
• Temporary suspension of account access
• Reduction in platform visibility and ranking
• Withholding of payouts pending investigation
• Permanent termination of account without refund of any remaining subscription period

Term & Cancellation

Facilities

• Your subscription begins on the date your account is activated and continues on a month-to-month basis
• You may cancel your subscription at any time by contacting admin@wiredtech.us
• Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused days in a billing period already paid
• Upon cancellation, your account and all associated data remain accessible until the end of the paid period, after which access will be deactivated

Clubs / Organizers

• Club accounts may be closed at any time by contacting admin@wiredtech.us
• Outstanding service fees on completed transactions remain payable upon closure

PADL's Right to Terminate

• PADL reserves the right to suspend or terminate any account for breach of these terms, fraudulent activity, non-payment, or conduct harmful to the platform or its users
• In cases of serious breach, termination may be immediate without prior notice

Data & Privacy

All personal and business data collected through PADL is handled in accordance with the PADL Privacy Policy and the Data Privacy Act of 2012 (Republic Act No. 10173).

By signing up, you consent to PADL collecting, processing, and using your data as described in the Privacy Policy. You are responsible for ensuring that any player data you access through the platform is handled in accordance with applicable data privacy law.

Limitation of Liability

PADL and SAEN ENTERPRISES INC. shall not be liable for:

• Injuries, accidents, or property damage occurring at your facility
• Disputes between your facility or club and players regarding service quality or conduct
• Losses arising from system interruptions, downtime, or technical issues beyond reasonable control
• Revenue loss resulting from account suspension due to breach of these terms

To the maximum extent permitted by applicable law, PADL's total liability to any subscriber shall not exceed the total amount paid by that subscriber to PADL in the three (3) months preceding the claim.

Governing Law & Disputes

These Signup Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from or related to these terms shall first be addressed through good faith negotiation between the parties. If unresolved within fifteen (15) days of written notice, disputes shall be submitted to the appropriate courts of the Philippines.

Amendments

PADL reserves the right to update these Signup Terms at any time. Material changes will be communicated by email to your registered address with at least fourteen (14) days notice prior to taking effect. Continued use of the platform following the effective date constitutes acceptance of the updated terms.
