Terms of Service
1. Acceptance of Terms
- These Terms of Service ("Terms") govern your access to and use of the PADL platform ("Platform"), a mobile and web-based application for the Pickleball community, operated by SAEN ENTERPRISES INC. ("Company", "we", "us", or "our").
- By registering, accessing, or using the PADL platform in any capacity — whether as a Player or as a Facility — you agree to be bound by these Terms. If you do not agree, you must discontinue use of the platform immediately.
- These Terms are organized into two parts: Part A governs the use of PADL by Players, and Part B governs the use of PADL by Facilities (businesses, venues, or operators managing courts and events through the web application).
2. Nature of the Platform
- PADL operates as a technology platform connecting Pickleball players with facilities offering court reservations, event management, scheduling, and related services.
- PADL is a technology intermediary — it does not own, operate, or manage any physical courts or facilities
- Facilities remain independently responsible for their operations, court conditions, and service quality
- PADL facilitates bookings and payments but is not a party to the agreement between a Player and a Facility
3. Accounts & Registration
- All users must register for an account to access platform features
- You agree to provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You agree to notify PADL immediately of any unauthorized use of your account
- PADL reserves the right to suspend or terminate accounts that violate these Terms
4. Payments & Online Transactions
- PADL facilitates online payments between Players and Facilities through integrated third-party payment processors
- All payments are processed securely in accordance with applicable payment security standards
- PADL does not store full payment card information on its servers
- Transaction fees, if applicable, will be disclosed at the point of payment
- Disputes regarding payments should be raised through the PADL platform or by contacting admin@wiredtech.us
PART A — PLAYERS
A1. Player Eligibility
- Players must be at least 18 years of age to create an account and make bookings
- By using PADL, you represent that you meet the eligibility requirements
- PADL is not responsible for any misrepresentation of age or eligibility
A2. Court Reservations & Bookings
- Players may search for available courts, view schedules, and make reservations through the PADL mobile application
- Reservations are confirmed upon successful payment processing
- Players are responsible for arriving on time for their reservations
- Facilities may have their own rules of conduct that Players must follow — PADL is not responsible for enforcing facility-specific rules
- Players agree to use facilities and courts in a respectful and responsible manner
A3. Cancellations & Refunds (Players)
- Cancellation and refund policies are set by individual facilities and will be disclosed at the time of booking
- PADL facilitates refunds in accordance with the applicable facility policy
- Players who cancel outside the allowed window may not be entitled to a refund
- PADL reserves the right to mediate disputes between Players and Facilities regarding cancellations
A4. Player Conduct
- Players agree not to:
- Make fraudulent bookings or misuse promotional offers
- Engage in abusive, harassing, or disrespectful behavior toward facility staff, other players, or PADL representatives
- Use the platform for any unlawful purpose
- Attempt to manipulate reviews, ratings, or platform data
- Violations may result in account suspension or permanent termination without refund.
A5. Player Ratings & Reviews
- Players may be invited to rate and review facilities following a completed booking
- Reviews must be honest, accurate, and based on genuine experiences
- PADL reserves the right to remove reviews that violate platform guidelines
PART B — FACILITIES
B1. Facility Eligibility & Registration
- Facilities must be legally registered businesses or organizations authorized to offer court-based services
- Facilities must provide accurate business information, including name, address, operating hours, and contact details during registration
- Facilities are solely responsible for ensuring their operations comply with all applicable local laws, business permits, and safety regulations
B2. Facility Responsibilities
- The Facility agrees to:
- Maintain accurate court availability, pricing, and scheduling information on the platform at all times
- Honor all confirmed bookings made through PADL
- Maintain court conditions that are safe, clean, and suitable for play
- Provide clear and accurate cancellation and refund policies to be displayed to Players at time of booking
- Respond to Player concerns and disputes in a timely and professional manner
- Ensure staff are familiar with PADL platform operations and policies
B3. Platform Fees & Payouts
- PADL may charge a platform service fee per completed booking, as agreed in the facility's registration or separate agreement with SAEN ENTERPRISES INC.
- Facility payouts will be processed on a regular schedule as agreed between the Facility and PADL
- PADL reserves the right to deduct applicable fees, refunds, and adjustments from facility payouts
- Fee structures may be updated with no less than seven (7) days prior written notice to the Facility
- Continued use of the platform after notice constitutes acceptance of updated fee structures
B4. Cancellations & Refunds (Facilities)
- Facilities must publish a clear and fair cancellation policy on the PADL platform
- Facilities must honor refund commitments made through the platform
- Where a Facility cancels a confirmed booking, a full refund to the Player is required unless PADL agrees otherwise in writing
- Excessive or unjustified cancellations may result in reduced platform visibility, suspension, or termination
B5. Facility Performance Standards
- PADL monitors facility performance based on operational metrics including:
- Booking fulfillment and cancellation rates
- Player ratings and feedback
- Response times to booking requests and Player inquiries
- Accuracy of availability and pricing information
- Performance data may be used by PADL to:
- Prioritize facility ranking and visibility within the platform
- Apply incentive measures or platform adjustments
- Determine continued access to the platform
B6. Facility Conduct & Restrictions
- Facilities agree not to:
- Manipulate pricing, availability, or booking data on the platform
- Direct Players to make bookings or payments outside of the PADL platform to circumvent platform fees
- Engage in fraudulent, deceptive, or misleading practices
- Misuse Player contact information provided through the platform
- Violations may result in immediate suspension or permanent termination of facility access.
B7. Web Application Access
- Facilities access PADL's management tools through a dedicated web application
- Access credentials are provided to authorized facility administrators only
- Facilities are responsible for the security of their web application login credentials
- PADL reserves the right to update, modify, or discontinue web application features with reasonable notice
- GENERAL TERMS
5. Data Privacy
All personal data collected through the PADL platform is handled in accordance with our Privacy Policy and the Data Privacy Act of 2012 (RA 10173). By using the platform, you consent to the collection and use of your data as described in the Privacy Policy, available at www.my-PADL.com.
6. Limitation of Liability
- PADL and SAEN ENTERPRISES INC. shall not be liable for:
- Injuries, accidents, or property damage occurring at any facility
- Disputes between Players and Facilities regarding booking quality, refunds, or conduct
- Losses arising from system interruptions, downtime, or technical issues beyond reasonable control
- Losses arising from unauthorized access to accounts due to failure to secure login credentials
- To the maximum extent permitted by applicable law, PADL's total liability to any user shall not exceed the total amount paid by that user to PADL in the three (3) months preceding the claim.
7. Intellectual Property
- All content, trademarks, logos, and technology comprising the PADL platform are owned by or licensed to SAEN ENTERPRISES INC.
- Users may not reproduce, distribute, or create derivative works from PADL content without written permission
- User-generated content (reviews, profile photos) remains the property of the user, but you grant PADL a non-exclusive license to display such content on the platform
8. Termination
- PADL reserves the right to suspend or terminate any account for breach of these Terms, fraudulent activity, or behavior harmful to the platform or its users
- Users may close their accounts at any time by contacting admin@wiredtech.us
- Upon termination, outstanding financial obligations (fees, refunds, adjustments) remain enforceable
9. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from or related to these Terms shall first be addressed through good faith negotiation. If unresolved, disputes shall be submitted to the appropriate courts of the Philippines.
10. Amendments
PADL reserves the right to update these Terms at any time. Material changes will be communicated through the platform or by email with at least seven (7) days notice. Continued use of the platform following the effective date of any update constitutes acceptance of the revised Terms.
